These Terms and Conditions ("Terms"/ "Terms of service") govern your access to and use of the Impala marketplace platform, including the website, mobile applications, wallet features, customer support channels, and related services (collectively, the "Platform"), operated by Impala Limited. ("Impala", "we", "our", or "us").
Impala provides a technology marketplace that enables buyers to discover, order, and pay for goods offered by independent third-party vendors. Impala is not the manufacturer, producer, importer of record, merchant of record for all transactions unless expressly stated, or the owner of the goods listed by vendors. Vendors are solely responsible for their products, product descriptions, inventory, pricing, warranties, compliance, and fulfilment obligations, except to the extent Impala expressly agrees otherwise.
By creating an account, clicking to accept, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
In these Terms, "Buyer" means any individual or entity that accesses the Platform to browse, purchase, or attempt to purchase goods. "Impala Content" means the Platform, its software, interface, design, text, graphics, logos, trademarks, compilations, and other content made available by Impala, excluding content provided by vendors or users. "Logistics Partner" means any third party engaged in warehousing, dispatch, shipping, carriage, customs handling, delivery, or related logistics services. "Order" means a purchase request submitted by a Buyer through the Platform. "Platform" has the meaning given in Section 1. "Vendor" means an independent merchant, seller, supplier, or business approved to offer goods for sale through the Platform. "Wallet" means any virtual stored-value, account balance, credit ledger, refund ledger, or similar payment functionality made available by Impala through the Platform.
You may use the Platform only if you are at least 18 years old and legally capable of entering into a binding contract under applicable law. You must provide accurate, complete, and current information when creating an account and must keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. You must notify Impala immediately if you suspect unauthorised access to your account. Impala may suspend, restrict, or terminate your account if we believe your account is compromised, your information is inaccurate, or your use of the Platform violates these Terms or applicable law.
Impala provides the technology infrastructure that enables buyers and vendors to interact, place orders, process payments, coordinate fulfilment, and resolve certain issues.
Unless expressly stated otherwise:
Impala does not own, possess, manufacture, inspect, label, package, warrant, or control the goods listed by vendors;
Impala does not guarantee that any product listing is accurate, complete, lawful, safe, or fit for your purpose;
Vendors, not Impala, are responsible for complying with product-specific legal and regulatory requirements; and
Logistics services are performed by third parties, and delivery timelines are estimates only.
Impala may, but is not obligated to, review listings, monitor transactions, investigate disputes, remove content, suspend accounts, or take enforcement action to protect the Platform and its users.
Product listings on the Platform are invitations to treat and not binding offers by Impala. When you place an Order, you make an offer to purchase goods from the applicable Vendor through the Platform.
An Order is not accepted until the Vendor confirms the Order or the Order is otherwise processed as accepted through the Platform. Impala may refuse, cancel, or place an Order on hold before or after submission where necessary for payment verification, fraud review, stock issues, pricing errors, compliance concerns, delivery restrictions, or suspected misuse of the Platform.
You are responsible for reviewing your Order carefully before submission, including product details, quantity, pricing, delivery information, customs implications, and any applicable restrictions.
All prices displayed on the Platform are shown in the local currency of the country in which the user is located, unless otherwise indicated. Prices, fees, taxes, shipping charges, customs-related charges, service fees, and other charges may change at any time before order confirmation.
By submitting an order, you authorise Impala and its payment service providers to charge your selected payment method or apply available Wallet funds for the full amount due, including product price, delivery fees, taxes, duties, processing fees, and any other disclosed charges.
If a Wallet feature is offered:
Wallet balances may be used only for transactions permitted on the Platform;
Wallet balances are not bank deposits, are not insured, and do not earn interest unless expressly stated otherwise;
Impala may place holds, limitations, or reversals on Wallet balances for refunds, chargebacks, fraud review, compliance, or error correction;
Wallet balances may be subject to usage conditions, expiry, or withdrawal limitations disclosed on the Platform; and
Impala may suspend Wallet access where required for security, compliance, or dispute handling.
You represent that you are authorised to use the payment method you provide. If your payment is declined, reversed, charged back, or otherwise not successfully settled, Impala may cancel the Order, suspend your account or Wallet, recover amounts owed, or take other lawful action.
Vendors are solely responsible for ensuring that listings accurately describe their goods, pricing, specifications, quantity, images, ingredients, warnings, legal restrictions, and availability.
Impala does not guarantee that listings, images, colours, descriptions, or other content will be accurate or complete. Actual products may differ from what is displayed. Product availability may change without notice, and items in your cart are not reserved until your Order is accepted.
Delivery timelines are estimates only unless expressly guaranteed in writing. Fulfilment may be affected by stock shortages, customs clearance, weather events, transport interruptions, security issues, force majeure events, or other matters outside Impala’s reasonable control.
You are responsible for providing accurate delivery information and for ensuring that someone is available to receive the Order where required. Re-delivery fees, storage charges, return charges, customs penalties, or other additional costs arising from incorrect information, failed delivery attempts, refusal to accept delivery, or failure to clear customs may be charged to you.
Risk in goods and responsibility for inspecting them on delivery will pass in accordance with the Vendor’s shipping terms or, if none are stated, upon delivery to you or your authorised recipient, except to the extent required otherwise by applicable law.
Orders may be cancelled, returned, or refunded only in accordance with the return, refund, cancellation, and dispute policies published on the Platform or otherwise communicated in connection with the Order.
Unless applicable law requires otherwise:
Perishable, customised, intimate, health-sensitive, final-sale, or regulated goods may be non-returnable;
Return windows and conditions may vary by product category or Vendor;
Refunds may be issued to the original payment method, to your Wallet, or by another method determined by Impala;
Shipping, service, customs, or handling charges may be non-refundable except where the error is attributable to the Vendor or Impala; and
Impala may require evidence, photographs, videos, packaging, or inspection results before approving a claim.
Impala may, in its discretion, facilitate dispute resolution between buyers and vendors, but is not obliged to resolve every dispute in the buyer’s favour.
You must not:
Use the Platform for any unlawful, fraudulent, deceptive, or abusive purpose;
Impersonate any person or misrepresent your identity or authority;
Interfere with the operation, security, or integrity of the Platform;
Upload malicious code, bots, scrapers, or harmful content;
Attempt to bypass payment flows, fees, security controls, or platform policies;
Use the Platform to purchase prohibited, restricted, or illegal goods;
Harass, threaten, defame, or abuse vendors, delivery personnel, support staff, or other users; or
Use the Platform in any way that could expose Impala or others to legal or regulatory risk.
You represent that you are authorised to use the payment method you provide. If your payment is declined, reversed, charged back, or otherwise not successfully settled, Impala may cancel the Order, suspend your account or Wallet, recover amounts owed, or take other lawful action.
Impala and its licensors own all rights, title, and interest in and to the Platform and the Impala Content, including all intellectual property rights. Your use of the Platform does not transfer any ownership rights to you.
Subject to these Terms, Impala grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for your personal or internal business purchasing purposes. You must not copy, modify, distribute, sell, reverse engineer, or exploit any part of the Platform except as expressly permitted by law or by Impala in writing.
If you submit reviews, ratings, comments, suggestions, complaints, images, or other content through the Platform ("User Content"), you grant Impala a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use that User Content for operating, improving, promoting, and protecting the Platform.
You represent that your User Content is accurate, lawful, and does not infringe any third-party rights. Impala may remove or disable User Content at any time.
Your use of the Platform is subject to the Impala Privacy Policy, which explains how we collect, use, and disclose personal data. By using the Platform, you acknowledge that personal data may be shared with vendors, logistics partners, payment providers, and service providers as reasonably necessary to provide marketplace services.
To the fullest extent permitted by law, the Platform and all goods, listings, content, and services made available through it are provided on an "as is" and "as available" basis.
Impala disclaims all representations, warranties, and conditions not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation. Impala does not warrant that the Platform will be error-free, secure, or continuously available, or that any product will meet your expectations or legal requirements.
Nothing in these Terms excludes any non-excludable rights you may have under applicable consumer protection law.
To the fullest extent permitted by law:
Impala will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profit, revenue, goodwill, data, business opportunity, or anticipated savings;
Impala will not be liable for acts, omissions, products, statements, warranties, delays, delivery failures, or legal violations of any Vendor, Logistics Partner, payment provider, or other third party;
Impala will not be liable for losses arising from product defects, contamination, recalls, customs seizures, regulatory non-compliance, or misuse of goods; and
Impala's total aggregate liability arising out of or relating to the Platform, any Order, or these Terms shall not exceed the fees actually retained by Impala in connection with the transaction giving rise to the claim, This limitation applies in the aggregate to all claims arising from the same transaction.
The limitations in this Section apply regardless of the form of action, whether in contract, tort, negligence, strict liability, statute, or otherwise, except to the extent prohibited by law.
You will defend, indemnify, and hold harmless Impala, its affiliates, and their respective directors, officers, employees, agents, and contractors from and against any claims, demands, actions, liabilities, damages, losses, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to:
Your breach of these Terms;
Your misuse of the Platform;
Your violation of applicable law;
Your infringement of any third-party rights; or
Your fraud, negligence, or wilful misconduct.
Impala may suspend, restrict, or terminate your access to the Platform, cancel Orders, freeze Wallet functionality, or remove content at any time, with or without notice, if:
You breach these Terms or any policy;
We suspect fraud, illegal activity, abuse, security risk, or regulatory breach;
Required by law, court order, payment provider, or regulatory authority; or
Continued access creates risk for Impala, vendors, users, or third parties.
You may stop using the Platform at any time and may request account closure, subject to completion of pending Orders, payment obligations, disputes, investigations, and legal retention requirements.
Impala will not be liable for any delay, interruption, or failure to perform resulting from events beyond its reasonable control, including natural disasters, strikes, epidemics, civil unrest, acts of government, war, terrorism, internet or utility failures, customs delays, transportation disruption, or failures of third-party service providers.
Impala may modify the Platform, features, policies, fees, or these Terms at any time. Updated Terms will become effective when posted or on the later date stated in the update. Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of laws principles.
Any dispute arising out of or in connection with these Terms or the Platform will first be addressed through good-faith negotiations by notifying Impala at legal@shopimpala.com . If the dispute is not resolved within [30] days, either party may commence proceedings in the competent courts of [Lagos state, Nigeria], and each party submits to the exclusive jurisdiction of those courts, except where applicable law requires otherwise.
Impala may give notices to you by email, SMS, in-app notification, posting on the Platform, or any other reasonable method using the contact details associated with your account. You must ensure your contact information remains current.

Notices will be deemed received on delivery, transmission, or posting, as applicable, unless proven otherwise.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. Impala’s failure to enforce any provision is not a waiver. You may not assign or transfer your rights or obligations under these Terms without Impala’s prior written consent. Impala may assign these Terms in connection with a merger, restructuring, sale, or transfer of assets or business.
These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and Impala regarding the subject matter and supersede prior understandings relating to that subject matter.
